Bio:The court vacated the portion of the prior decision holding that the absence of loss causation was clear from the face of the complaint. In light of its intervening decision inNECA v. Goldman Sachs, the Second Circuit ruled that it could not say that loss causation was definitively absent at the pleading stage. The absence of loss causation was the basis on which Judge Matsumoto had dismissed the state common-law claims - for unjust enrichment, breach of fiduciary duty, aiding and abetting breach of fiduciary duty, and negligence. As a result, those claims were reinstated, except for the unjust enrichment claim, which Judge Matsumoto also dismissed for another reason. The Second Circuit found that plaintiffs had waived any appeal on that issue, so the court affirmed dismissal of that claim as well.
