The dealer had agreed to meet certain performance benchmarks as a condition of retaining its Dealer Agreement after the old GM filed for bankruptcy protection and sold all of its assets to the new GM. Having failed to meet those benchmarks, the dealer brought suit, alleging constructive termination and challenging the reasonableness of GM's vehicle allocation system and the methodology it uses to evaluate dealer performance nationally. After removing the case from New York Supreme Court to the Southern District, Bingham successfully opposed the dealer's motion for preliminary injunction enjoining the future termination of the Dealer Agreement and then convinced the court to permit only limited discovery before entertaining GM's motion for summary judgment. In a bench ruling, the court granted GM's motion in its entirety, dismissing the dealer's claims.
