Bio:Bingham Aids Tempur-Pedic in $2.145B Financing Dec. 19, 2012 - A Bingham team represented Tempur-Pedic International Inc. as it completed $2.145 billion in financings in connection with its proposed acquisition of Sealy Corporation. Tempur-Pedic completed the sale of $375 million worth of senior notes underwritten and sold in a Rule 144A offering. In addition, it entered into a new senior secured credit facility led by Merrill Lynch Pierce Fenner & Smith Incorporated, Barclays Bank, JP Morgan Securities, Wells Fargo Securities LLC and Fifth Third Bank providing for a revolving credit facility of $350 million, a Term Loan A facility of $550 million and a Term B facility of $870 million. The Bingham team was led by partner John Utzschneider, and included partner Amy Kyle and of counsel Anastasia Caviris on the senior secured credit facility and partners Christina Melendi and Ben Burkhart; counsel Tom Gray; associates Kristen Ferris, Allison Gargano, Cindy Kung, Ben Rubin, Ryan Sykora, Katherine Dobson, Gaurav Singh and Candace Martin; and Christal Fenton, staff attorney, on the senior notes offering. The Sealy acquisition is still subject to Hart-Scott-Rodino review and is expected to close in the first half of 2013.
