Several years ago, Concannon worked on a transaction in which a biotech client was being acquired by a larger company, and, in the merger, the client's shareholders received a tracking stock of one of the divisions of the acquirer. This transaction was particularly challenging because of the structuring of the tracking stock and the negotiations we had concerning building in contractual protections for the shareholder of our client, Concannon said. As for an important issue relevant to his life sciences practice, he said, The ability to access capital in the public markets by life sciences companies has become an acute problem over the past decade. I believe that there are several reasons for this that can be relatively easily fixed. Concannon concluded by sharing a valuable lesson he learned as a junior associate. I was often too focused on 'winning' negotiations over deal points, he said. I came to realize it was much more important, and the clients appreciated, to get deals done and to focus most of my time on negotiating deal terms. I think most clients much prefer to work with [lawyers] who are 'deal-makers.'
